By-law amendments vs the 8-K summary
General Mills' 8-K named three by-law changes. A term-by-term comparison finds more, including a narrower right to call a special meeting.
About this demo
General Mills' by-laws before and after the January 2026 restatement, compared on twenty terms a governance lawyer tracks. The changed words are marked in both PDFs.
How this demo was made
All three documents are real SEC filings, unchanged and printed whole from EDGAR. Nothing was planted. The comparison covers only the twenty terms listed, not every word; a full redline would show more, mostly in the nomination procedures. What the 8-K did name is all here: item i covers the nomination changes (who decides a nomination complies, now the board rather than the chairman; nominees' full-term pledge; the questionnaire deadline; nominations lapse if the stockholder does not appear), and item ii covers the new test for a contested election. The adjournment notice, stockholder list and record date changes follow the Delaware statute and fairly fit item iii's "conforming changes". Whether a change is substantive is a legal judgment; the change statuses and notes are Claude's, made with CiteLLM Check, and CiteLLM located every quotation in both PDFs and marked the words that differ. The review above is CiteLLM Check's own viewer, as it opens in ChatGPT and Claude.
