Compliance certificate vs credit agreement
The certificate says 3.00x, in compliance. On the credit agreement's own definitions it's 4.26x against a 3.50x maximum.
About this demo
A borrower's Q1 2025 compliance certificate with an $85M equity cure, checked against the credit agreement, the 10-Q and the 10-K. Check recomputes each covenant with the agreement's definitions.
How this demo was made
The compliance certificate is synthetic: written for testing from Solo Brands' real SEC filings, with deliberate errors, and marked "SYNTHETIC TEST DOCUMENT" on every page. Solo Brands did not make this equity cure; in June 2025 it amended its credit agreement and obtained a waiver instead. The credit agreement, 10-Q and 10-K are the real filings, unchanged. The assessments are Claude's, made with CiteLLM Check; CiteLLM located every quotation in the source PDFs and recomputed every calculation from the quoted figures. Figures are in thousands of US dollars, as in the certificate. The review above is CiteLLM Check's own viewer, as it opens in ChatGPT and Claude.
